Genbook is developed and operated by Gentech Data Inc. in collaboration with its affiliated technology (including those listed below) and service partners. We grant you access to this website and our services on the condition that you accept and comply with the terms, policies, and notices set out below. 1. General Conditions
We reserve the right to refuse service, deny access, or terminate any account at any time, for any reason, without liability. You acknowledge that content you submit other than credit card and payment information may be transmitted unencrypted and may (a) travel over public and private networks, and (b) be adapted to meet the technical requirements of connecting networks or devices. Credit card and payment data are always encrypted during transmission. You may not reproduce, copy, sell, resell, lease, or otherwise commercially exploit any part of the Service, or any access point through which the Service is provided, without our prior written permission. The headings used in these Terms are for convenience only and do not affect the interpretation of any provision. Genbook's services, software, and tools are intended for business, commercial, corporate, or professional use only. These Terms do not apply to, and we do not offer our services for, personal, family, or household use.
2. Changes to Terms of Service
We maintain the absolute right, under our exclusive discretion, to revise, substitute, or amend any portion of these Terms by delivering updates directly to our website. It remains your operational mandate to audit our web platforms periodically for structural modifications. Your continued usage of or entry to our platforms following the publication of updates confirms your acceptance of those regulatory changes.
3. Agreement
Any failure by Genbook to actively enforce or apply any legal right or provision established within these Terms shall not be construed as a legal waiver of our right to enforce such provisions in the future. These Terms of Service, in conjunction with any operational rules or guidelines published on this platform, represent the entire comprehensive agreement and mutual understanding governing your use of our platforms, fully displacing and overriding all prior or concurrent discussions, written or oral proposals, and early agreements between you and Genbook (including all previous versions of these Terms). Any linguistic ambiguities detected during the interpretation of these Terms shall not be legally leveraged against the drafting entity.

7. Modifications to the Service, Prices, and Subscription Plans
Prices for our services may change at any time without prior notice. We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Service (or any feature or content within it) at any time without notice. We are not liable to you or any third party for any change, price adjustment, suspension, or discontinuation of the Service. Our platform operates on a recurring subscription model with different usage tiers. If your usage exceeds the limits of your current tier, your account may be automatically upgraded to a higher tier to prevent interruption of service. The pricing of the new tier will apply from the time of upgrade. We will notify you by email when an automatic upgrade occurs. You are responsible for monitoring your usage and managing your subscription.
8. Accuracy of Information
You agree to provide and maintain accurate, complete, and current account information. You must promptly update your account details including email address, payment information, and expiration dates to ensure uninterrupted service and reliable communication.

We are not responsible for examining or evaluating the content of third-party websites and make no warranties regarding any third-party materials, websites, products, or services. We reserve the right to terminate your access to the Service for violating any of these restrictions. Genbook's systems, APIs, and interfaces may be used solely for business, organizational, or commercial purposes. Use for personal, family, or household tasks is expressly prohibited and constitutes a material breach of these Terms.
12. Disclaimer of Warranties and Limitation of Liability
We do not guarantee that your use of our services will be uninterrupted, secure, timely, or error-free. We do not warrant that the results, metrics, or data obtained through the Service will be accurate or reliable. You acknowledge that your use of or inability to use the platform is at your own risk. The Service, and all content delivered through it, are provided on an "as is" and "as available" basis, without any representations, warranties, or conditions of any kind, whether express or implied. This includes all implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. In no event shall Genbook, or our directors, officers, employees, affiliates, partners, agents, contractors, interns, suppliers, or licensors, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar damages whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Service or any related claim. In jurisdictions that do not permit the limitation or exclusion of liability for incidental or consequential damages, our liability in those jurisdictions shall be limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Genbook, our parent company, subsidiaries, affiliates, partners, officers, directors, contractors, licensors, suppliers, and employees from any claim or demand including reasonable attorneys' fees made by any third party arising from your breach of these Terms, the documents they incorporate by reference, or your violation of any law or third-party rights.
14. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed severed from these Terms, and this shall not affect the validity or enforceability of any remaining provisions.
15. Termination and Refunds
Any obligations or liabilities of either party incurred prior to the termination date shall survive the termination of this agreement. These Terms remain in effect until terminated by either you or Genbook. Your subscription will renew automatically on a recurring basis (monthly, semi-annually, or annually, depending on the plan you select). You may cancel at any time by contacting our team via support chat or email, or by using the cancellation option in the "Settings" menu of the web application. Cancellation takes effect on the last day of the then-current billing cycle. All paid Genbook subscription fees are non-refundable and non-transferable. If we determine, in our sole judgment, that you have failed to comply with any provision of these Terms or if we reasonably suspect non-compliance, we may terminate this agreement immediately without notice. You remain liable for all amounts due up to the date of termination, and we may block your access to our tools.
16. Governing Law
These Terms of Service, and any separate agreements under which we provide you services, are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Subject to Section 18 (Dispute Resolution and Binding Arbitration), any judicial proceeding permitted under these Terms shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you and Genbook each consent to the personal jurisdiction and venue of those courts.
